Affiliate Agreement
This Affiliate Agreement ("Agreement") is entered into between Athlete Intelligence, LLC ("Athlete Intelligence," "we," "us") and you, the affiliate ("Affiliate," "you"). By submitting an application or earning commissions through the program, you agree to the terms below.
1. The Program
The Athlete Intelligence Athlete Intelligence Affiliate Program (the "Program") lets you earn a recurring commission for referring paying subscribers to the Athlete Intelligence platform. Approval is at our sole discretion. We may decline applicants without stating a reason.
2. Your two referral links
Upon approval, we issue you two unique referral links:
- Family link (
/a/[your-code]) — For sharing with athletes, families, and youth-sport organizations to drive new subscriber signups. - Recruiter link (
/a/[your-code]/team) — For recruiting additional affiliates underneath you (sub-affiliates).
You are responsible for keeping your links functional and using them in compliance with this Agreement, applicable law, and FTC disclosure rules.
3. Commission structure
3.1 Direct (Tier 1) — 20% MRR
You earn 20% of the monthly recurring revenue (MRR) of every paying subscriber that signs up through your family link, for as long as the subscriber stays active and current on payments. Refunds, chargebacks, and cancellations reverse the underlying commission.
3.2 Sub-Affiliate Override (Tier 2) — 5% MRR
When you recruit another affiliate via your recruiter link and that affiliate brings in their own subscribers, you earn an additional 5% of the MRR generated by the sub-affiliate's referrals. The sub-affiliate's own 20% commission is unaffected — your 5% is paid by us, not subtracted from theirs.
3.3 Two tiers, full stop
The Program is strictly two tiers deep. Sub-affiliates of your sub-affiliates do not generate commissions for you. We do not operate a multi-level marketing scheme.
3.4 Attribution & cookie window
Referrals are attributed via cookie + UTM parameters at the time of first click, with a 60-day attribution window. If a prospective subscriber clicks your link and signs up within 60 days (whether on the same device or after returning), the referral is credited to you. Last-click attribution applies if multiple affiliate links are clicked.
4. Payment terms
4.1 Schedule
We pay commissions on the 1st of each calendar month for MRR collected in the prior month (net-30). There is no minimum threshold and no holdback period after your first payout.
4.2 Methods
We support ACH (US bank), Stripe Connect, PayPal, and Wise (international). You select your method during onboarding and may change it at any time with 14 days notice.
4.3 Disputes
If you believe a payout is incorrect, notify us within 60 days of the payout date. After 60 days, payouts are deemed final.
4.4 Reversals
If a referred subscriber refunds, charges back, or cancels within their first 14 days, the corresponding commission is reversed and offset against your next payout. Reversals on subscribers older than 14 days are reversed only at the time of the reversal — your prior commissions on that subscriber are not clawed back.
5. Tax obligations
5.1 W-9 / W-8BEN
You must provide a valid IRS Form W-9 (US persons) or W-8BEN (non-US persons) before your first payout. The information collected during your application serves as your electronic W-9 / W-8BEN under IRS regulations. You certify under penalty of perjury that the tax information you provide is true and correct.
5.2 1099-NEC issuance
If you earn $2,000 or more in a calendar year, we mail you a Form 1099-NEC by January 31 of the following year and e-file it with the IRS the same day. You are solely responsible for reporting this income on your own tax return and paying any self-employment, federal, state, or local taxes owed.
5.3 Backup withholding
If the IRS notifies us that the TIN you provided is incorrect or that you are subject to backup withholding, we will withhold 24% of subsequent payouts and remit it to the IRS until resolved.
5.4 Non-profits
501(c)(3) organizations may register with their EIN and the appropriate exempt payee code per W-9 instructions. Payouts are made to the organization, not to individual employees, and the 1099-NEC is issued to the organization.
6. Promotion rules
You agree to promote Athlete Intelligence honestly and in compliance with applicable law:
- FTC disclosure. When promoting in a context where readers might assume an unbiased recommendation (social media posts, blog reviews, emails), clearly disclose your affiliate relationship — e.g., "Affiliate link." or "I earn a commission if you sign up."
- No spam. No unsolicited bulk email, no paid placements that mimic organic content without disclosure, no comment-spam on third-party sites.
- No bidding on our brand. You may not bid on "Athlete Intelligence," "Athlete Intelligence," or close variants in paid search ads, nor register confusingly similar domain names.
- No false claims. No guaranteed-scholarship language, no misrepresentation of pricing, features, or college outcomes.
- No targeting minors. All marketing must be directed at parents, guardians, coaches, or athletes 18+. Never collect contact information directly from athletes under 13.
Violations may result in commission forfeiture and termination of this Agreement.
7. Trademarks & brand assets
We grant you a non-exclusive, non-transferable, revocable license to use the Athlete Intelligence™ and Athlete Intelligence brand assets we publish for affiliate use (logos, marketing copy, screenshots) solely for promoting the Program. You may not modify the marks or use them to imply you are an employee, agent, or representative of Athlete Intelligence.
8. Termination
Either party may terminate this Agreement at any time, with or without cause, by written notice (email is acceptable). Upon termination:
- Your referral links are deactivated.
- We continue paying commissions on any active subscribers you previously referred, on the same monthly schedule, for as long as those subscribers stay subscribed.
- If we terminate for cause (fraud, FTC violation, breach of this Agreement), all unpaid commissions are forfeit.
9. Confidentiality
You may receive non-public information about the Program (commission rates, beta features, financial reporting). Don't share it. This obligation survives termination for two (2) years.
10. Independent contractor
You are an independent contractor, not an employee, agent, partner, or joint venturer of Athlete Intelligence. You have no authority to bind Athlete Intelligence, and Athlete Intelligence will not withhold income, FICA, or unemployment taxes from your commissions.
11. Limitation of liability
To the fullest extent permitted by law, Athlete Intelligence's total liability under this Agreement is capped at the commissions paid to you in the twelve (12) months preceding the claim. Athlete Intelligence is not liable for indirect, incidental, special, consequential, or punitive damages.
12. Governing law & disputes
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Disputes will be resolved by binding arbitration in Hillsborough County, Florida, under the Commercial Rules of the American Arbitration Association. Either party may seek injunctive relief in court for trademark or confidentiality breaches.
13. Amendments
We may update this Agreement on 30 days' notice via email and a notice on this page. Continued participation in the Program after the effective date constitutes acceptance. Material commission-rate changes apply only to subscribers referred after the effective date — historical rates are honored for active subscribers.
14. Entire agreement
This Agreement, together with any program policies referenced from this page, is the entire agreement between you and Athlete Intelligence relating to the Program and supersedes any prior understandings, written or oral.
